Terms & Conditions of Use

Novex 360 S.R.L.

These Terms and Conditions (“Terms” or “T&C”) constitute a binding agreement between the client (the “USER”) and Novex 360 S.R.L., with registered office at Av. San Martín, Edificio Manzana 40, Oficina 1605, Santa Cruz de la Sierra, Bolivia, NIT [●] (“Wallex 360”, “Wallex” or the “Company”).

Use of the website www.wallex360.com (the “Platform”), the mobile application (the “App”), and the services described herein implies full acceptance of these T&C. Anyone who does not accept these T&C must refrain from using the App, the site, and/or the services.

1. DEFINITIONS
Novex 360 / Wallex / Company:
A technology platform that allows the USER to access services for the purchase, sale, and exchange of Digital Assets (e.g., USDT), payment processing, and transfers between users or partner merchants, directly or through Affiliates.

USER:
A natural person over 18 years of age who downloads the App or uses the Platform, accepts these T&C, and consumes the services.

Affiliates:
Natural or legal persons who, together with Wallex, facilitate the provision of services (payment gateways, collection networks, exchanges, liquidity providers, custodians, identity verification services, KYT tools, etc.).

Wallex Balance:
Representation in the App of the USER’s balance denominated in Digital Assets (e.g., USDT) associated with their Wallex account. This balance may increase through purchases/deposits and promotional rewards offered by Wallex or its Affiliates, and decrease due to withdrawals, transfers, and payments to partner merchants.

Digital Assets:
Crypto assets or stablecoins (e.g., USDT, USDC) accepted by Wallex for its operations.

2. SCOPE OF SERVICE (BOLIVIA)
Wallex is not a financial intermediary, nor a financial or investment advisor. The App displays the USER’s Wallex Balance and transaction history.

Wallex does not have access to, nor does it store, passwords or private keys from third-party wallets. When the service requires credentials or authentication, they are transmitted and stored in encrypted form.

The price of Digital Assets fluctuates. The USER accepts that exchange rates may rise or fall, generating gains or losses.

Once a transaction has been confirmed, it cannot be canceled, reversed, or modified. The USER is responsible for verifying all details and amounts before confirmation.

The App and/or Affiliate platforms may experience interruptions due to maintenance or hardware/software/connectivity failures. Wallex will strive to minimize downtime.

Wallex may include, modify, or remove services based on regulatory, operational, or competitive factors, providing notice at least 15 days in advance.

Wallex offers the following services:
Purchase and sale of USD-backed stablecoins (USDT, USDC), international payments, currency and stablecoin conversion, temporary custody of digital funds (internal wallet), and API access for enterprise or fintech integrations.

3. COMPLIANCE (KYC/KYB/KYT – AML/CFT)
Wallex operates under applicable Bolivian law, including Law No. 393 on Financial Services and ASFI/UIF regulations for the prevention of money laundering and terrorism financing.

Novex 360 S.R.L. is not a financial institution regulated by the Financial System Supervisory Authority (ASFI), but voluntarily applies international compliance standards (KYC, KYB, KYT, AML/CFT).

The USER authorizes Wallex and its Affiliates to verify identity, consult restricted lists, request additional documentation, and report suspicious activities to the UIF when required.
4. USER OBLIGATIONS
- Provide complete, truthful, and up-to-date information and keep it updated.
- Maintain the confidentiality of their password and devices. Wallex is not liable for unauthorized access due to loss, theft, or hacking.
- Notify Wallex in case of theft or loss of device or credentials.
- Adopt recommended security measures (password changes, MFA, etc.).
- Refrain from carrying out transactions related to illicit activities, money laundering, or terrorist financing.
- Authorize data processing and the collection of technical logs for security and service improvement purposes. 5. WALLEX OBLIGATIONS
- Provide communication channels (in-app chat and support@wallex360.com).
- Schedule maintenance preferably during low-impact hours.
- Ensure the operational security of systems and integrations.
- Monitor regulatory changes and communicate them promptly to USERS.

6. COSTS AND FEES
All costs, commissions, and fees are displayed before confirming each transaction in the App. Wallex may modify costs and fees at any time. Changes will apply from their publication and will not affect already confirmed operations.

7. RETURNS, REFUNDS, AND REVERSALS
Blockchain network transactions are generally irreversible. Wallex does not guarantee on-chain reversals. Refunds will be governed by the rules of the corresponding payment provider. In the event of errors attributable to Wallex, the Company will evaluate each case individually and may make adjustments or compensatory credits to the USER’s Wallex Balance. Wallex does not process refunds via PayPal unless expressly indicated in the App. 8. INTELLECTUAL PROPERTY
All intellectual and industrial rights over the website, App, software, trademarks, logos, designs, and content belong to Wallex or its Affiliates. The USER receives a limited, non-exclusive, revocable, and free license to use the App in accordance with these T&C.

9. LIMITATION OF LIABILITY
The USER assumes the market risk of Digital Assets and releases Wallex from any liability for losses resulting from market fluctuations. Wallex is not liable for unauthorized access due to USER negligence. Wallex does not guarantee uninterrupted service availability. Wallex does not provide financial, currency exchange, tax, legal, or investment advice.

10. PRIVACY AND PERSONAL DATA
Wallex processes USER personal data in accordance with Bolivian law and international best practices. The Privacy Policy published in the App and on www.wallex360.com/privacy is an integral part of these T&C.

11. TERM AND TERMINATION
These T&C remain in effect while the USER maintains an active account or balance. The USER may terminate the agreement by withdrawing their available balance and notifying Wallex of their decision. Wallex may suspend or terminate an account if it detects false information, security breaches, suspicious transactions, or by order of a competent authority.

12. MODIFICATIONS TO THE T&C
Wallex may modify these T&C, notifying the USER through the App or by email. Continued use implies acceptance of the modifications.

13. GOVERNING LAW AND JURISDICTION
These T&C are governed by the laws of Bolivia. The parties submit to the jurisdiction of the ordinary courts of Santa Cruz de la Sierra.

14. COMMUNICATIONS AND NOTIFICATIONS
Both parties acknowledge the evidentiary validity of electronic records, push notifications, and emails derived from instructions or approvals by the USER and/or Wallex.
